2. About Checkin
The overall purpose of Checkin is to be a secure, user-friendly, cost-effective, and time-saving ticketing and registration system for everything from small to large companies and organizations.
3. Description of the ServiceCheckin is an online comprehensive solution for organizing events. This includes, among other things, services for registration, ticket sales, participant management, and booking.
Checkin reserves the right to approve or reject each individual event.
The Organizer is solely responsible for the setup and administration of the event.
Services from Checkin include a financial system that registers and keeps track of incoming and outgoing payments, as well as the possibility for invoicing and (semi-)automatic posting of vouchers. Access to all these services requires a separate agreement with CheckinPay AS, in addition to this Agreement.
The Organizer is solely responsible for ensuring that all customer information is correct.
The Organizer must ensure that there is at all times a Customer Contact who maintains dialogue with Checkin, and that all contact information is updated. The Organizer shall bear the risk for non-compliance with these obligations.
The Organizer may only create events that the Organizer itself organizes or is an active co-organizer of. The Organizer may not allow other organizations, associations, teams, businesses, etc. to use the Customer Account. This prohibition also applies to companies, associations, teams, or other organizations in the same group as the Organizer, unless there is explicit and prior written consent from Checkin. Checkin is free to decide whether such consent will be given.
It is not permitted to use Checkin for registration and ticket distribution, and then invoice or otherwise collect participant fees outside of Checkin. Any exceptions to this must be agreed in writing with Checkin, and Checkin is free to decide whether such permission will be granted. Failure to comply with this obligation will entitle Checkin to claim Remuneration as if the tickets etc. were sold through Checkin.
The Organizer is solely responsible for providing support and any necessary assistance to Users. The Organizer is solely responsible for correct setup and administration of events and other solutions. This means that the Organizer is responsible for ensuring that all who have access to the Customer Account have sufficient knowledge of the system.
The Organizer’s representative must have signing authority for the Organizer and be 18 years of age or older to establish a Customer Account in Checkin.
5. Checkin’s ResponsibilitiesCheckin shall ensure stable operation of the Services. The Organizer is aware and accepts that technical problems may occur. Checkin is not liable for indirect losses, operational losses, or lost profits resulting from the Services being wholly or partly unavailable for a period. Checkin will not be liable for losses arising from unavailability or downtime of the Services.
Checkin shall, without undue delay, seek to correct errors and deficiencies should they arise. Planned downtime shall be notified to the Organizer at least 48 hours in advance.
Checkin is an administration and sales service and does not replace the Organizer’s obligation to document its sales and income in accordance with accounting regulations and any other relevant applicable laws.
Checkin’s liability under this Agreement is suspended in the event of circumstances beyond Checkin’s control which Checkin could not reasonably have foreseen or avoided the consequences of. Unforeseen errors in other systems provided by third parties shall always be regarded as such circumstances. The same applies to circumstances due to obligations imposed on Checkin by law.
Apart from the situations mentioned above, Checkin shall only be liable for direct and documented losses suffered by the Organizer as a result of Checkin’s possible breach of its obligations under this Agreement.
The Organizer shall be entitled to free support by phone and email during Checkin’s opening hours, as stated at any time on Checkin’s website.
The normal response time for submitted inquiries is within 48 hours, but Checkin makes no guarantee that all inquiries will be answered within 48 hours. The experienced response time will normally be faster than 48 hours.
The Organizer is solely responsible for providing support to Participants. If support could have been provided by the Organizer itself using information available to the Organizer through Checkin’s service, and the Organizer nevertheless forwards requests from Participants to Checkin, Checkin may charge remuneration corresponding to the time spent to provide support to Participants on behalf of the Organizer. In such cases, Checkin shall document the time spent and reserves the right to invoice such remuneration afterwards.
Checkin offers on-call arrangements, extra training, consulting services, etc., to provide the Organizer with the best possible basis for providing support to Participants and their Events. The prices and Services offered and applicable at any time are those presented on Checkin’s website. Agreements for assistance beyond what is specified above must be entered into between the Parties before costs are incurred.
7. Prices, Fees, and CommissionThere is no monthly fee or fixed subscription fees associated with the basic agreement with Checkin, unless otherwise agreed between the Parties. Unless the Parties have agreed otherwise upon entering into the agreement, the prices stated at any time on Checkin’s website apply to the Services.
The prices for each individual event will follow the applicable prices at the time of the event’s creation. As a main rule, price changes will not affect already active events. However, Checkin reserves the right to change prices for events and products created six months or more before the event date.
Checkin reserves the right to change prices and price structure for Services, both existing and future, with one month’s notice. Notifications of price changes shall be sent in accordance with section 14.
If the Organizer requests the personal attendance of one of Checkin’s representatives, for example for an introductory meeting, check-in, training, follow-up, etc., this may incur a cost to be paid to Checkin by the Organizer. Such costs shall be agreed between the Parties before costs are incurred.
The Agreement does not entail any transfer of intellectual property rights between the parties.
The Organizer is responsible for not uploading, downloading, displaying, performing, transmitting, or otherwise distributing information or content in violation of anyone’s copyright, trademarks, patents, trade secrets, or other intellectual property or proprietary rights. Invoicing and GuaranteesCheckin will prepare and send invoices for any Services, in addition to those possibly charged via transaction fees and CheckinPay AS, regularly or in accordance with agreement, but at least semi-annually. Checkin reserves the right to introduce new payment methods for payment of fees related to the use of services, including, but not limited to, card or eWallets.
Checkin reserves the right to invoice in advance an agreed amount, normally NOK 3,000. The amount will be settled upon termination of the customer relationship unless otherwise agreed. The advance-invoiced amount will be used to cover fees for various service costs in the system and other minor costs.
Checkin reserves the right to require a guarantee or other form of security if there is reasonable cause.
10. Relationship between Checkin and ParticipantsCheckin is not responsible for any refunds to Participants.
The Organizer is responsible for communicating its refund policy to Participants. Participants are in a customer relationship with the Organizer and have no rights against Checkin, including no claims for refunds, compensation, price reductions, or similar.
All claims Participants may have against the Organizer shall be directed to the Organizer, and this shall be clearly stated in the Organizer’s terms to Participants.
11. Relationship between Checkin and CheckinPay ASIf the Organizer is to create a paid event using Checkin’s Services, this requires that the Organizer also enters into a separate customer agreement with CheckinPay AS.
By entering into a Customer Agreement with Checkin and CheckinPay, the Organizer accepts that Interest Income earned in connection with payments to CheckinPay’s client account accrues in full to CheckinPay.
12. Data PrivacyData processing is carried out in accordance with the requirements of the Personal Data Act and the privacy policy on Checkin’s website.
Checkin is not liable for any losses the Organizer may incur as a result of downtime or technical faults in the solution.
14. Changes to the AgreementCheckin may change the Agreement without notice if the changes are not material. The Organizer will be notified of material changes one month before the changes take effect. If the Organizer does not wish to be bound by the terms in the updated agreement text, the Organizer must notify Checkin of this by email, and the Agreement will be considered terminated. The notice must be sent to Checkin no later than the same day the change takes effect. The Organizer’s terms for using the Services will then remain unchanged during the notice period of 3 months. If Checkin does not receive such notice, the Organizer will be considered bound by the new terms.
15. Transfer of Rights and ObligationsThe Organizer may not transfer rights and obligations under the Agreement without prior written consent from Checkin.
Checkin may, within applicable regulations and without prior consent, assign this Agreement to a third party. The Organizer’s rights and obligations under this Agreement will continue to apply in full in the event of such assignment to a third party.
