The Organizer and Checkin AS, org. no. 994 035 053, "Checkin," collectively referred to as "the Parties," have hereby agreed to the following ("the Agreement").

By entering into this agreement on behalf of the Organizer, the representative represents and warrants that: (i) they have full legal authority to bind the Organizer to this agreement; (ii) they have read and understood this agreement; and (iii) they consent, on behalf of the Organizer, to this agreement. The Organizer's representative shall not enter into this agreement if they do not have the legal authority to bind the Organizer.

1. Definitions
  • Organizer: The entity planning to utilize Checkin's Services to organize one or more events, formally entering into an agreement with, committing to, and holding rights and obligations toward Checkin.

  • Agreement: This customer agreement, entered into between the Organizer and Checkin, regulating the parties' obligations and rights in the customer relationship.

  • Users: The individuals within the Organizer's organization who will be using Checkin's systems and services.

  • Participants: The individuals (in the market) that will be utilizing the Services set up by the Organizer through Checkin.

  • Customer Contact: The individual who serves as the point of contact for the Organizer with Checkin.

  • Customer Account: The Organizer's account for administration and setup on My Page.

  • My Page: The Organizer's dedicated page within the Checkin system, where events, user information, and finances are managed.

  • Interest: The interest income generated on CheckinPay's client account.

  • Sales Documentation: Receipts, cash notes, invoices, and credit notes.

  • Services: The services provided by Checkin as described in article 3.

  • Compensation: The monetary compensation that Checkin may request for its services, as specified on Checkin's website at any given time.

 

2. This Is Checkin

Checkin is dedicated to providing a safe, user-friendly, cost-effective, and time-saving ticket and registration system for small to large businesses and organizations.

 

3. Description of Checkin's Service

Checkin is an online all-in-one solution for organizing events. This includes services for registration, ticket sales, participant management, and booking.

Checkin reserves the right to approve or reject any individual event.

The organizer is solely responsible for the setup and administration of the event.

Checkin's services provide an accounting system that tracks payments and disbursements and allows for (semi)automatic invoicing and posting of accounting entries. To access these services, an agreement with CheckinPay AS is required in addition to this agreement.

 

4. Responsibilities of the Organizer

The Organizer is responsible for ensuring that required customer information and contact information is correct and up to date at all times. The Organizer shall bear the risk of non-compliance with this obligation.

The Organizer is responsible for ensuring that a designated Customer Contact is available to maintain regular dialogue with Checkin. Furthermore, the Organizer is responsible for keeping all contact information up to date. Failure to comply with these obligations will result in the Organizer assuming any risks associated with such failure.

The Organizer may only use Checkin to create events that the Organizer itself organizes, or for which they are currently an active co-organizer. Under no circumstances should the Organizer allow third-party organizations, associations, teams, or companies to utilize the Customer Account. This restriction also applies to entities within the same group as the Organizer, unless Checkin grants explicit prior written consent. Checkin retains the sole discretion to grant or deny such requests for permission.

It is not permitted to use Checkin for registrations and ticket distribution, and then invoice participants or collect participant fees outside of Checkin. Any exceptions to this must be agreed upon in writing with Checkin, and Checkin retains the sole discretion to grant or deny such requests. Non-compliance with this obligation may result in Checkin claiming Compensation as if the tickets etc. had been sold through Checkin.

The Organizer is solely responsible for providing support and necessary assistance to Users. The Organizer is solely responsible for the correct setup and administration of events and other solutions. This entails that the Organizer is responsible for ensuring that all individuals with access to the Customer Account have sufficient knowledge of the system.

The Organizer's representative must have signing authority for the Organizer and be 18 years of age or older to establish a Customer Account in Checkin.

 

5. Checkin's Responsibilities

Checkin shall ensure the stable operation of the Services. The Organizer acknowledges and accepts that technical problems may occur. Checkin is not responsible for any indirect losses, operational downtime, or loss of profit due to or caused by the Services being partially or fully unavailable for a period of time.

In the event of errors or deficiencies, Checkin will promptly take action to rectify them. Planned downtimes will be communicated to the Customer with at least 48 hours' notice.

Checkin's Services do not replace the Organizer's obligation to comply with the record-keeping requirements and does not absolve the Organizer from their obligation to properly document sales and income in accordance with accounting regulations and relevant legislation.

Checkin's liability under this Agreement is suspended in the event of circumstances beyond their control, which could not have been reasonably foreseen or prevented. This includes unforeseen errors in third-party systems provided by other entities. The same applies to obligations imposed on Checkin by law.

In addition to the aforementioned scenarios, Checkin shall only be liable for direct and verifiable losses that the Organizer incurs due to Checkin's breach of obligations under this Agreement.

 

6. Support

The Organizer shall be entitled to free support via available digital channels.

The normal response time for submitted inquiries is within 48 hours, but Checkin makes no guarantee that all inquiries will be answered within 48 hours.

The Organizer is solely responsible for providing support to Participants. If support could have been provided by the Organizer itself using information available to the Organizer through Checkin's service, and the Organizer nevertheless forwards requests from Participants to Checkin, Checkin may charge remuneration corresponding to the time spent to provide support to Participants on behalf of the Organizer. In such cases, Checkin shall document the time spent and reserves the right to invoice such remuneration afterwards.

Checkin offers on-call arrangements, extra training, consulting services, etc., to provide the Organizer with the best possible basis for providing support to Participants and their Events. The prices and Services offered and applicable at any time are those presented on Checkin's website. Agreements for assistance beyond what is specified above must be entered into between the Parties before costs are incurred.

 

7. Prices, Fees and Commissions

There is no monthly or fixed subscription fee associated with entering into this customer Agreement with Checkin, unless otherwise is explicitly stated in the Agreement. Unless otherwise is agreed between the Parties at the time of the agreement, the prices listed on Checkin's website (checkinevent.com/pricing) apply for Checkin's Services.

The prices for each individual event will follow the applicable rates at the time the event is created. Price changes will not affect active events. However, Checkin reserves the right to adjust the rates for events and items which have been created six months or more prior to the event date.

Checkin reserves the right to change prices and price structures for Services, both existing and future, with one (1) month's notice. Notifications of price changes will be sent in accordance with article 14 of this Agreement.

If the Organizer requests a personal appearance by a Checkin representative, for example, for an initial meeting or assistance with event check-in, it may result in an additional cost that the Organizer is responsible for. Any such additional costs must be agreed upon by both Parties before they are incurred.

 

8. Intellectual Property Rights

This Agreement does not involve or entail any transfer of intellectual property rights between the parties.

The Organizer is obligated not to download, display, perform, transmit, or distribute any information or content that infringes upon anyone's intellectual property rights, including copyrights, trademarks, patents, trade secrets, etc. The Organizer is solely responsible for and liable for any misuse of materials in connection with the Services provided by Checkin.

 

9. Billing and Guarantees

Checkin is responsible for sending invoices for all Services provided, along with any applicable transaction fees and charges from CheckinPay AS. These invoices will be sent regularly, or at an agreed upon interval, but at a minimum every six (6) months. To offer convenience to customers, Checkin may introduce new payment methods, such as cards or eWallets, for the payment of service fees.

As part of the invoicing process, Checkin reserves the right to pre-invoice a predetermined amount, usually NOK 3,000. This amount will be settled at the end of the customer relationship, unless otherwise is mutually agreed upon. The pre-invoiced amount will be utilized to cover various service costs within the system, as well as any minor expenses incurred.

Checkin reserves the right to require a bank guarantee or other forms of security as a condition for entering into an agreement with the Organizer.

 

10. Relationship between the Organizer and Participants

Checkin is not responsible for any refunds to Participants.

The Organizer is responsible for communicating its refund policies to the Participants. Participants are in a customer relationship with the Organizer, and Participants are not entitled to make claims against Checkin for refunds, compensation, price reductions, or similar claims.

Any claims that Participants may have against the Organizer shall be directly addressed to the Organizer, in accordance with the Organizer's terms and policies as communicated to Participants. Checkin is not responsible for any such claims or issues between Participants and the Organizer.

 

11. Relationship between Checkin and CheckinPay AS

In the event that the Organizer creates a paid event using Checkin's Services, Checkin requires the Organizer to enter into a separate customer agreement with CheckinPay AS, the payment service provider utilized by Checkin. This agreement will outline the terms and conditions related to payment processing and any associated fees.

Upon entering into a Customer Agreement with Checkin and CheckinPay, the Organizer accepts that any Interest earned in connection with payments to CheckinPay's client account shall accrue in full to CheckinPay.

 

12. Privacy

Checkin complies with the Norwegian Personal Data Act and follows a privacy policy that is available on Checkin's website.

 

13. Liability

Checkin assumes no liability for any losses or damages incurred by the Organizer due to downtime or technical errors in the solution.

 

14. Changes to the Agreement

Checkin reserves the right to modify the Agreement without prior notice if the changes are deemed non-material. The Organizer will receive advance notice of any material changes to the Agreement, with a minimum notice period of one (1) month prior to the effective date of the changes.

In the event that the Organizer does not wish to be bound by such material changes to the Agreement, they must provide notice to Checkin via email on or before the day the changes take effect. In such cases, the Agreement will be considered terminated, and a three (3) month termination period will commence. During this period, the Organizer's existing terms for using the Services will remain unchanged. If Checkin does not receive such notice, the Organizer will be considered to have accepted and be bound by the new terms.

 

15. Transfer of Rights and Obligations

The Organizer may not transfer rights and obligations under the Agreement without obtaining prior written consent from Checkin.

Checkin reserves the right to, within applicable rules and without prior consent, transfer this Agreement to a third party. The Organizer's rights and obligations under this agreement will continue to apply fully in the event of such a transfer to a third party.

 

16. Duration and Termination

The Agreement can be terminated with a notice period of one (1) month. This termination period does not apply to an Organizer's termination under article 14. If either party wishes to terminate the Agreement, they must provide notice in writing via email.

Settlement will be made one (1) month after the Agreement's termination date.

17. Dispute Resolution

This agreement is governed by and shall be construed in accordance with Norwegian law.

Customer complaints shall be directed to customer service, which will handle complaints in accordance with applicable procedures and regulations. In the event of any dispute arising out of or in connection with this Agreement, the parties undertake to resolve the dispute through negotiations in good faith. If a satisfactory resolution cannot be reached and legal action is needed, the Agder District Court is agreed upon as the legal venue by both parties.

The Agreement shall be considered to be signed when the customer has checked the box indicating acceptance of the terms and conditions displayed on the registration form on checkinevent.com.
